Subscription Based Dog Training

These Terms and Conditions (“Terms”) govern your access to and use of the website, platforms, content, products, and online dog training services offered by Balanced Canine Academy (“Company,” “we,” “us,” or “our”). By accessing or using our site or services, you agree to be bound by these Terms.

1. Site Use

1.1 Eligibility. You must be at least 18 years old and able to enter into a legally binding contract to use the site and services.
1.2 Account Registration. You agree to provide accurate, current, and complete information and to maintain the security of your login credentials. You are responsible for all activities under your account.
1.3 Acceptable Use. You agree not to: (a) use the site for unlawful purposes; (b) interfere with site security or operations; (c) reverse engineer, decompile, or scrape the site; (d) upload or transmit viruses or malicious code; (e) use automated means to access the site without our prior written permission; or (f) impersonate any person or entity.
1.4 User Content. If you submit content (including questions, feedback, testimonials, reviews, images, or videos), you grant us a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, display, perform, adapt, distribute, and create derivative works from such content for our business purposes. You represent that you have all rights necessary to grant this license and that your content does not infringe any third-party rights or violate law.
1.5 Termination or Suspension. We may suspend or terminate access to the site or services, in whole or in part, at any time for any reason, including for violation of these Terms, without notice or liability.

2. Purchase and Refund Policy

2.1 Orders. By placing an order, you agree to pay the listed price(s), taxes, and any applicable fees. All orders are subject to our acceptance and availability. We may refuse or cancel orders at our discretion, including for pricing errors or suspected fraud.
2.2 Pricing and Promotions. Prices and promotions are subject to change without notice prior to purchase. If we discover a pricing error, we may cancel the order and issue a refund of amounts paid.
2.3 Delivery of Digital Services. For online courses, memberships, consultations, and other digital services, access details will be provided to you at the email address associated with your account following successful payment.
2.4 Refunds. Unless otherwise stated in a specific service description at the time of purchase, all sales are final and nonrefundable. If a separate refund or satisfaction guarantee is expressly offered, the terms of that offer will govern, including any deadlines, eligibility requirements, and documentation needed. Any approved refund will be issued to the original form of payment within 10 business days of approval.
2.5 Rescheduling and Cancellations. Live sessions or consultations may be rescheduled with at least 24 hours’ prior written notice; late cancellations or no-shows may be forfeited without refund.
2.6 Chargebacks. You agree not to initiate chargebacks without first providing us an opportunity to resolve the issue. We reserve the right to contest chargebacks and to suspend or terminate access for accounts with unpaid balances.

3. Intellectual Property

3.1 Ownership. The site, services, and all content, materials, courses, videos, audio, text, images, graphics, trademarks, service marks, logos, software, and other intellectual property (collectively, “Content”) are owned by or licensed to Balanced Canine Academy and are protected by intellectual property laws.
3.2 License. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Content solely for your personal, non-commercial use.
3.3 Restrictions. You may not copy, reproduce, distribute, modify, create derivative works, publicly display, publicly perform, sell, license, rent, or exploit the Content in any way, except as expressly permitted. You may not remove proprietary notices. Any unauthorized use terminates the license granted under these Terms.
3.4 Feedback. You grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate any suggestions, enhancements, or feedback you provide without restriction or compensation.

4. Limitation of Liability

4.1 No Consequential Damages. To the maximum extent permitted by law, in no event shall Balanced Canine Academy or its owners, officers, directors, employees, contractors, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, loss of goodwill, service interruption, computer damage, or system failure, arising out of or in connection with the site, services, Content, or these Terms, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, even if advised of the possibility of such damages.
4.2 Cap on Liability. To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to the site, services, Content, or these Terms shall not exceed the greater of: (a) the amount you paid to us for the specific service giving rise to the claim during the three-month period preceding the event giving rise to the claim; or (b) USD $200.
4.3 Essential Basis. The limitations in this Section are an essential basis of the bargain between you and us.

5. Indemnification

You agree to defend, indemnify, and hold harmless Balanced Canine Academy and its owners, officers, directors, employees, contractors, agents, and affiliates from and against any and all claims, demands, actions, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your access to or use of the site, services, or Content; (b) your breach of these Terms; (c) your violation of any law or third-party right; or (d) your content, including any infringement, defamation, or violation of privacy or publicity rights.

6. Release of Claims

To the fullest extent permitted by law, you hereby release, discharge, and hold harmless Balanced Canine Academy and its owners, officers, directors, employees, contractors, agents, and affiliates from any and all claims, demands, or causes of action, known or unknown, arising out of or in any way connected with your use of the site, services, or participation in any training, including any claims based on the negligent acts or omissions of the released parties, except to the extent caused by their gross negligence, willful misconduct, or violation of law.

7. Online Commerce

7.1 Payment Processing. We may use third-party payment processors. By submitting payment information, you authorize us and our processors to charge the amounts due and to share information necessary to complete the transaction. We are not responsible for errors by payment processors.
7.2 Taxes. You are responsible for all applicable taxes, duties, and assessments, if any, associated with your purchases.
7.3 Security. While we take commercially reasonable steps to safeguard transactions, we do not guarantee absolute security of information transmitted over the internet. You provide payment and personal information at your own risk.
7.4 International Use. Access to Content may vary by region. You are responsible for compliance with local laws and for any fees associated with currency conversion or international transactions.

8. Governing Law

These Terms and any dispute arising out of or relating to them, the site, services, or Content shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles.

9. Venue

Subject to the mediation requirement in Section 10, the exclusive venue for any suit, action, or proceeding arising out of or relating to these Terms, the site, services, or Content shall be the state or federal courts located in Pinellas, Florida, and you consent to the personal jurisdiction of such courts.

10. Mediation

As a condition precedent to litigation, the parties shall first attempt in good faith to resolve any dispute, claim, or controversy arising out of or relating to these Terms, the site, services, or Content through confidential mediation conducted in Pinellas, Florida, before a mutually agreed mediator, with costs shared equally. If the dispute is not resolved within 60 days after the mediator is appointed, either party may proceed in accordance with Section 9.

11. Severability

If any provision of these Terms is held invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall continue in full force and effect.

12. Entire Agreement

These Terms, together with any service-specific terms or policies expressly incorporated by reference at the time of purchase, constitute the entire agreement between you and Balanced Canine Academy regarding the site, services, and Content, and supersede all prior or contemporaneous understandings, communications, and agreements.

13. Waiver

No failure or delay by either party in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power, or remedy preclude any other or further exercise thereof or the exercise of any other right, power, or remedy.

14. Headings

Headings are provided for convenience only and shall not affect the interpretation of these Terms.

15. Disclaimers

15.1 No Veterinary or Medical Advice. The site, services, and Content are for educational and informational purposes only and are not a substitute for professional veterinary, medical, behavioral, legal, or other professional advice. Always consult a qualified veterinarian regarding your dog’s health and behavior.
15.2 No Guarantee of Results. Training outcomes vary based on numerous factors, including your dog’s health, history, environment, and your consistency. We do not guarantee any specific results or outcomes.
15.3 Assumption of Risk. Working with animals involves inherent risks, including risk of injury to persons or pets and property damage. You assume all risks associated with participation in any training or implementation of any guidance provided through the site, services, or Content.
15.4 Third-Party Links and Resources. The site may contain links to third-party websites or resources. We are not responsible for the content, products, or services on or available from those sites or resources, and you access them at your own risk.
15.5 “As Is” and “As Available.” To the maximum extent permitted by law, the site, services, and Content are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, or course of performance.

Changes to Terms

We may update these Terms from time to time by posting a revised version with an updated Effective Date. Your continued use of the site or services after the Effective Date constitutes acceptance of the revised Terms.
